Terms and conditions for organisations

§ 1 Provider and scope
(1) supinion is provided by TELEPANO, owner: Noel Weinberg (brand 1337 Studios), sole proprietorship, not entered in the commercial register, Eurotec-Ring 15, 47445 Moers, Germany, phone +49 2841 8887410, email hi@supinion.com, VAT ID DE349915573 ("we").
(2) These terms apply to all contracts for supinion with entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law, in particular schools, school authorities, universities, companies, associations and event organisers ("customer"). Contracts with consumers are governed by our terms and conditions for consumers.
(3) Use free of charge (Free plan, trial, trying it out without an account) is governed by our terms of use, for organisations and private individuals alike. These terms apply to paid contracts.
(4) Deviating terms of the customer do not apply, even if we do not expressly object to them.
§ 2 Service
(1) supinion is a web application for live polls, quizzes, Q&A, scales, word clouds and presentations. The customer creates presentations; participants join without an account via QR code or access code and answer in their browser.
(2) We provide supinion over the internet. The customer needs a current browser and an internet connection; both are the customer's responsibility.
(3) Scope of the plans:

The limit of 1,000 participants per session is a fair-use limit. An event pass raises the limit for its term, also in addition to a subscription. We credit the price of an event pass if the customer takes out a yearly subscription within 30 days of the purchase. Free, trial and trying it out without an account are governed by the terms of use.
(4) The plan overview published at www.supinion.com specifies the features. We keep developing supinion. Changes that do not worsen the agreed core of the service are permitted.
§ 3 Account and conclusion of contract
(1) The customer needs an account to use supinion. Sign-in works without a password via a code that we send to the email address on file. The customer keeps access to this email address protected.
(2) Before ordering, the app shows an overview with plan, price, term and payment methods. There the customer confirms that they are ordering for an organisation and orders with the button "Order with obligation to pay"; payment then takes place via Stripe. The contract is concluded when the payment process is completed. We confirm receipt and the contract by email, with these terms attached. For school licence and campus, the contract is concluded when our offer is accepted.
(3) The customer can correct input errors in the overview and via "Change billing details" before clicking the order button. We store the order data; the customer receives it with the confirmation email. These terms are available at any time at www.supinion.com/agb and can be saved and printed there. The contract language is German; an English translation is available. We have not submitted to any code of conduct.
(4) Anyone ordering for an organisation warrants that they are authorised to do so.
(5) The customer can invite other people to their workspace. The customer is responsible for who has access to their workspace.
§ 4 Trial
(1) The trial lasts 14 days and is free of charge. No payment method is required.
(2) The trial ends automatically. No costs arise and nothing is renewed. After that the Free plan applies, unless the customer books a paid plan.
§ 5 Prices and payment
(1) All prices are final prices including statutory VAT (currently 19 %). For businesses established in another EU member state that provide a valid VAT ID, the tax liability passes to the recipient of the service (reverse charge). The amount payable stays the same; the invoice then shows no German VAT. The same applies to businesses established outside the EU (for example in Switzerland or the United Kingdom): they pay the same amount, and the invoice contains no German VAT.
(2) Subscription fees are due in advance for each billing period (month or year), event passes on purchase.
(3) Payment is processed by Stripe Payments Europe, Ltd. (Ireland). Payment is made with the payment methods shown in the order overview. Stripe's terms apply additionally to the payment.
(4) If a payment fails, the booked plan remains usable for another 14 days. If payment has not been made by then, the Free plan applies until payment is received. Content is kept.
(5) We announce price changes for running subscriptions in text form at least six weeks before they take effect. In this case the customer may terminate with effect from the date the change takes effect. We point this out in the announcement.
§ 6 Term and termination
(1) Monthly subscriptions run for one month, yearly subscriptions for one year. They renew for the same period unless terminated by the end of the current period. Termination is possible at any time with effect from the end of the current period, via the customer portal, which can be opened from the app (page "Plan", "Manage subscription"), or in text form to hi@supinion.com.
(2) The EDU plan runs for one year from purchase and renews for a further year unless terminated by the end of the current term. Paragraph 1 sentence 3 applies accordingly.
(3) Event passes end after 30 days without the need for termination.
(4) School licence and campus: term and termination according to the respective offer.
(5) The right to terminate for good cause remains unaffected. Good cause exists for us in particular if the customer repeatedly or seriously violates § 8.
(6) After the contract ends, the Free plan applies. The account and content remain until the customer deletes them. Session results are deleted automatically 12 months after the session ends.
§ 7 Availability
(1) We strive for uninterrupted operation. We do not promise a specific availability.
(2) Excluded are announced maintenance work and disruptions for which we are not responsible, for example disruptions of the internet outside our sphere of influence.
(3) We back up the data daily and keep the backups for 14 days. Backups serve to restore the service, not to restore individual content deleted by the customer.
§ 8 Customer obligations, prohibited content
(1) The customer is responsible for the content of their presentations and ensures that they hold the necessary rights (for example to images and imported PDFs).
(2) Prohibited is in particular content that
- violates applicable law, for example criminal content, incitement to hatred or content harmful to minors,
- insults, threatens, exposes or bullies others,
- discloses personal data of third parties without a legal basis,
- infringes third-party rights, in particular copyright, trademark and personality rights,
- constitutes advertising in the form of spam.
(3) The customer must not misuse supinion, in particular not overload the technology, circumvent protective mechanisms or generate answers automatically en masse.
(4) If the customer uses supinion with participants, the customer informs them about the processing of their answers and ensures a legal basis. Schools observe the school law of their state.
§ 9 Moderation and reports
(1) Word filter: An automatic word filter holds back participant contributions containing offensive terms. They are not deleted but not shown. The filter may hold back contributions wrongly or miss some.
(2) Moderation by the customer: Presenters can hide and release contributions in their sessions themselves.
(3) Reports: Every participant view has a "Report content" function. Reports are reviewed by people, not by automated systems. We decide in a timely, diligent and objective manner.
(4) Measures: After a report or on our own knowledge we may
- close the report without a measure,
- remove a session with its results,
- block a workspace, ending running presentations.
We choose the mildest suitable measure. In case of removal and blocking, the customer receives a statement of reasons with the facts, the rule of these terms or the legal basis concerned, and the available remedies (Art. 17 of Regulation (EU) 2022/2065).
(5) Complaint: The customer can complain about a decision under paragraph 4 free of charge by email to hi@supinion.com within six months. Complaints are reviewed by people, not by automated systems. We inform the customer of the outcome with reasons and lift the measure if it proves unfounded. Recourse to the courts remains open.

§ 10 Rights to content
(1) Content remains with the customer. The customer grants us the rights we need to provide supinion – that is, to store, back up, process and display content to participants.
(2) We do not use the customer's content or the participants' answers for our own purposes, in particular not for advertising.
(3) The customer may freely use and adapt templates we provide for their own presentations.
(4) The customer warrants that they hold the necessary rights to the content that they or their users upload or enter – such as texts, images, logos or PDF slides – and, where required, have obtained the consent of the persons depicted or named. The customer indemnifies us against third-party claims based on a culpable breach of this obligation, including reasonable costs of legal defence.
§ 11 Data protection
(1) Insofar as we process personal data on behalf of the customer – in particular participants' answers – the parties conclude a data processing agreement under Art. 28 GDPR. The data processing agreement forms part of these terms and is available at any time at www.supinion.com/avv (German only); on request we also conclude it with signatures.
(2) Otherwise our privacy policy applies.
§ 12 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and insofar as we have given a guarantee.
(2) In case of a slightly negligent breach of an essential contractual obligation – an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely – we are only liable for the foreseeable damage typical for the contract.
(3) Otherwise, liability for slight negligence is excluded.
(4) For use free of charge (Free, trial, trying it out without an account) we are only liable for intent and gross negligence and in the cases of paragraph 1.
(5) In plans in which the customer can export the results themselves (all paid plans and the trial), liability for data loss is limited to the effort that would have been incurred had the customer regularly backed up the data, for example by exporting the results. Paragraph 1 remains unaffected.
§ 13 Changes to these terms
We announce changes to the customer in text form at least six weeks before they take effect. If the customer does not object before they take effect, they are deemed accepted. In case of objection, either party may terminate with effect from the date the change takes effect. We point out the deadline, the right to object and its consequences in the announcement. Changes to the main obligations to the customer's disadvantage are only made with the customer's consent.
§ 14 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of jurisdiction for merchants, legal entities under public law and special funds under public law is Moers, Germany.
(3) The German version is legally binding.
(4) Should a provision be invalid, the rest of the contract remains valid.
