Terms and conditions for consumers

§ 1 Provider and scope

(1) supinion is provided by TELEPANO, owner: Noel Weinberg (brand 1337 Studios), sole proprietorship, not entered in the commercial register, Eurotec-Ring 15, 47445 Moers, Germany, phone +49 2841 8887410, email hi@supinion.com, VAT ID DE349915573 ("we").

(2) These terms apply to contracts for paid supinion plans with consumers within the meaning of Section 13 of the German Civil Code (BGB) ("you"). Anyone buying for a school, university, company, association or other organisation buys as an organisation; our terms and conditions for organisations apply to them.

(3) The contract language is German. This English version is a translation; the German version is legally binding.

(4) We have not submitted to any code of conduct.

§ 2 Service

(1) supinion is a web application for live polls, quizzes, Q&A, scales, word clouds and presentations. You create presentations; participants join without an account via QR code or access code and answer in their browser. supinion is a digital service within the meaning of Section 327 (2) sentence 2 BGB.

(2) As a private individual you can book the following plans. All prices are total prices including 19% VAT:

The Team plan (shared workspace, data processing agreement) is reserved for organisations.

(3) The limit of 1,000 participants per session is a fair-use limit. We credit an event pass if you take out a yearly subscription within 30 days of the purchase.

(4) Technical requirements: you need a current web browser (such as Safari, Chrome, Firefox or Edge in one of the last two major versions) and an internet connection; no installation is required. Participants need a device with a current browser and internet access. You are responsible for these requirements.

(5) We keep developing supinion. We only make changes beyond what is needed to keep the service in conformity with the contract for a valid reason (Section 327r BGB): adaptation to a new technical environment (such as new browser versions), security, fixing errors, changes in the law or official requirements, or further development while the core of the service stays the same. This causes you no additional costs, and we inform you clearly about it. If a change impairs your access or the usability more than insignificantly, we inform you in good time beforehand on a durable medium; you can then terminate the contract free of charge within 30 days (Section 327r (3) BGB).

§ 3 Account, order and conclusion of the contract

(1) You need an account. You sign in without a password using a code that we send to your email address.

(2) Ordering: you choose a plan on the plans page, enter your name and address as a private individual and get to the order summary. There you see the service, total price, term and cancellation conditions. Until you click "Subscribe with obligation to pay" or "Buy with obligation to pay" you can correct your details via "Change billing details" or cancel the process. We confirm receipt of your order by email right away.

(3) The click is a binding offer. We accept it by activating your plan after the payment at Stripe is completed and sending you the contract confirmation by email. If you do not complete the payment, your order lapses; no contract and no obligation to pay arises.

(4) The contract confirmation contains the service, price, term, these terms (also as a text attachment), the withdrawal information and the model withdrawal form. We store the contract text; your account shows the plan, term and contract number.

§ 4 Prices and payment

(1) All prices are total prices including 19% German VAT. As a private individual you can buy with a billing address in any member state of the European Union, at the same prices.

(2) Subscription fees are due in advance for each billing period (month or year), event passes on purchase.

(3) Payments are processed by Stripe Payments Europe, Ltd. (Ireland); you can pay with the payment methods offered there, such as card.

(4) If a payment fails, your plan remains usable for 14 more days. If the payment has not been made by then, the Free plan applies until payment is received. Your content is kept.

(5) Price increases for running subscriptions only apply if you expressly agree. If you do not agree, your subscription continues at the previous price until the end of the term; we may then terminate it effective at the end of the term.

§ 5 Term and cancellation

(1) Monthly subscriptions run for one month and renew by one month at a time. You can cancel at any time effective at the end of the current month.

(2) Yearly subscriptions (including the school plan) run for one year from purchase and renew by one year at a time. You can cancel at any time effective at the end of the first year. After a renewal you can cancel at any time with one month's notice (Section 309 no. 9 BGB); we refund fees already paid for the period after the end of the contract pro rata.

(3) Event passes end after 30 days without cancellation. An extraordinary cancellation is still possible.

(4) You can cancel at any time without signing in via the "Cancel contracts here" button on www.supinion.com and in the app, as well as by email or letter. We confirm your cancellation right away by email with its content, the date and time of receipt and the date on which the contract ends.

(5) The right of both parties to extraordinary termination for good cause remains unaffected.

(6) After the contract ends, the Free plan applies. Your account and content remain until you delete them.

§ 6 Right of withdrawal

(1) As a consumer you have a statutory right of withdrawal of 14 days from the conclusion of the contract. Details are in the withdrawal information at www.supinion.com/app/widerrufsbelehrung and in your contract confirmation. You can also withdraw online via "Withdraw from contract" at www.supinion.com/en/withdraw; we confirm receipt by email right away.

(2) Your plan starts right after payment. In the order summary you can voluntarily tick that you expressly request the service to begin before the withdrawal period ends. Only then do you pay compensation for the service provided until the withdrawal (Section 357a (2) BGB). We calculate it pro rata by full days of use in relation to the agreed term (one month, one year or 30 days) and refund the rest. Without this request we refund the full price on withdrawal.

§ 7 Warranty and updates

(1) The statutory warranty rights for digital services apply (Sections 327 et seq. BGB).

(2) Throughout the entire term of the contract we provide the updates needed to keep the service in conformity with the contract, including security updates (Section 327f BGB). As supinion runs in the browser, we install them ourselves; you do not need to install anything.

§ 8 Your obligations, prohibited content

(1) You are responsible for the content of your presentations and make sure you have the necessary rights to it (for example to images and imported PDFs).

(3) You must not misuse supinion, in particular not overload the technology, circumvent protective mechanisms or generate answers automatically in bulk.

(4) If you use supinion with participants, you inform them about the processing of their answers.

§ 9 Moderation and reports

(1) Word filter: an automatic word filter holds back participant posts with offensive terms. They are not deleted but not displayed. The filter may wrongly hold back or miss posts.

(2) Your moderation: you can hide and approve posts in your sessions yourself.

(3) Reports: every participant view has a "Report content" function. Reports are reviewed by people, not automated systems. We decide promptly, diligently and objectively.

We choose the mildest suitable measure. For removals and blocks you receive a statement of reasons with the facts, the rule of these terms or the legal basis concerned, and your remedies (Art. 17 of Regulation (EU) 2022/2065).

(5) Complaints: you can complain about a decision under paragraph 4 free of charge by email to hi@supinion.com within six months. Complaints are reviewed by people, not automated systems. We tell you the result with reasons and reverse the measure if it proves unfounded. Recourse to the courts remains open.

§ 10 Rights to content

Your content remains yours. You grant us the rights we need to provide supinion – that is, to store, back up, process and display content to participants.

§ 11 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and where we have given a guarantee.

(2) For slightly negligent breach of an essential contractual obligation – an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely – we are only liable for the typical, foreseeable damage.

(3) Otherwise, liability for slight negligence is excluded. Your rights under Sections 327 et seq. BGB remain unaffected.

§ 12 Changes to these terms

Changes to these terms only apply to running contracts if you expressly agree. Silence does not count as agreement.

§ 13 Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 14 Final provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If your habitual residence is in another country, the mandatory consumer protection provisions of that country remain unaffected (Art. 6 (2) Rome I Regulation).

(2) Should any provision be invalid, the rest of the contract remains valid.
